G-Loop™ Inner Circle — Program Terms
These are the complete terms of the G-Loop™ Inner Circle Founding Member program offered by Pet Nutraceuticals, Inc., a Delaware corporation doing business as PETNUTRA (“PETNUTRA,” “we,” “us”). Our existing Terms of Service and Privacy Policy also apply; they remain separate policies and are not replaced by this page.
1. The Program.
The G-Loop™ Inner Circle (the “Program”) is a limited, invitation-based pre-launch membership. Membership includes a 60-day supply of G-Loop™ (the “Product”), access to the private Inner Circle community, monthly founder calls, a Founding Member digital badge, and the other benefits described at the time you enroll. You are purchasing a membership, not purchasing the Product at retail. Membership is a one-time charge of $[19.95]. It does not automatically renew, and you will not be charged again unless you separately and affirmatively enroll in a subscription. Some members are admitted on a complimentary basis by invitation; these terms apply in full to those members.
2. Eligibility.
You must be at least 18 years old, a resident of the United States, and the owner of the dog you enroll. Your dog must be at least one year of age. We may accept or decline any applicant, and may limit the number of memberships, in our sole discretion.
3. What Participation Involves.
During the Program term you agree to: (a) administer the Product to your dog once daily as directed; (b) provide written feedback at least weekly through the channel we designate; (c) submit photographs and, if you are willing, video; and (d) complete brief intake and exit surveys. Everything you submit under this section, together with any review, testimonial, comment, caption, post, message, image, video, or audio recording you provide to us or post publicly about the Program or the Product, is your “Submitted Content.”
4. Content License and Release.
You grant PETNUTRA a perpetual, irrevocable, worldwide, royalty-free, fully paid, non-exclusive, transferable, and sublicensable right and license to use, reproduce, modify, adapt, edit, excerpt, publish, distribute, publicly display, and publicly perform the Submitted Content, in whole or in part, alone or with other material, in any medium now known or later developed, for any purpose relating to PETNUTRA’s business — including advertising, marketing, social media, email, packaging, our website, retailer and investor materials, and press. You consent to our use of your name, your dog’s name, your city and state, and your and your dog’s voice, image, and likeness in connection with those uses. You waive any right to inspect or approve the finished use, and you waive any claim for defamation, invasion of privacy, or violation of the right of publicity arising from a use permitted by these terms, as well as any moral rights, to the fullest extent permitted by law. You receive no payment for these uses beyond the Program benefits. You retain ownership of your Submitted Content and remain free to use it yourself. As a matter of practice and not obligation, we will make reasonable efforts to remove a specific piece of personal content at your request.
5. Your Representations.
You represent and warrant that: (a) the Submitted Content is your own work or you otherwise hold all rights needed to grant the license above; (b) every identifiable person appearing in the Submitted Content is at least 18 and has agreed to these uses, or, if a minor appears, you are that minor’s parent or legal guardian and consent on their behalf; (c) the Submitted Content is truthful; and (d) the Submitted Content does not infringe anyone’s rights or violate any law.
6. Honest Feedback and Required Disclosure.
No Program benefit, price, badge, or invitation — including any invitation to a future affiliate or ambassador program — is offered in exchange for, or conditioned on, your expressing any particular opinion, rating, or sentiment about PETNUTRA or the Product. Your Submitted Content must reflect your actual experience and must not be misleading. When you post publicly about the Program or the Product, you must clearly and conspicuously disclose your connection to PETNUTRA, consistent with the FTC’s Endorsement Guides (16 CFR Part 255) and the Rule on the Use of Consumer Reviews and Testimonials (16 CFR Part 465).
7. Confidentiality.
Non-public information we share with you — including formulation details, pricing, research updates, product roadmap, and other members’ information — is confidential, and you agree not to disclose it or post about it publicly without our prior written consent. This does not restrict you from truthfully describing your own experience with the Product once we notify you that public sharing is open, or from making any disclosure required by law.
8. Health, Safety, and No Veterinary Advice.
G-Loop™ is a nutritional supplement for dogs. These statements have not been evaluated by the Food and Drug Administration. G-Loop™ is not intended to diagnose, treat, cure, or prevent any disease. The Program is a consumer feedback program; it is not a clinical trial or veterinary research study, and PETNUTRA does not provide veterinary advice. Consult your veterinarian before starting your dog on G-Loop™, particularly if your dog has a diagnosed condition, takes medication, or is pregnant or nursing. You remain solely responsible for your dog’s health and care during the Program and you accept the risks of participating. Discontinue use and contact your veterinarian if your dog has an adverse reaction, and notify us at innercircle@petnutra.com.
9. No Guarantee of Results.
Individual results vary. PETNUTRA does not promise that your dog will experience any particular outcome.
10. Independent Relationship.
You are not an employee, agent, contractor, or partner of PETNUTRA, and nothing here creates any such relationship. You have no authority to make representations or commitments on PETNUTRA’s behalf.
11. Term and Termination.
The Program term begins when we confirm your enrollment and runs for 60 days unless extended in writing. Either party may end your participation at any time on written notice. Sections 4 through 9 and 11 through 16 survive termination, and the license in Section 4 continues to apply to all Submitted Content provided before termination.
12. Privacy.
We collect information about you and your dogs through the Program and handle it in accordance with our Privacy Policy.
13. Disclaimer of Warranties.
To the fullest extent permitted by law, the Program and the Product are provided “as is” and PETNUTRA disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some states do not permit these exclusions, so they may not apply to you.
14. Limitation of Liability.
To the fullest extent permitted by law, PETNUTRA is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of the Program or the Product, even if advised of the possibility. Our total liability for any claim relating to the Program will not exceed the amount you paid to participate. Some states do not permit these limitations, so they may not apply to you. Nothing in this section limits liability that cannot be limited by law.
15. Indemnification.
You agree to indemnify, defend, and hold harmless PETNUTRA and its officers, directors, employees, and agents from any losses, expenses, damages, and costs, including reasonable attorneys’ fees, arising out of your breach of these terms or your Submitted Content.
16. Governing Law and Dispute Resolution.
These terms are governed by the laws of the State of Montana, without regard to its conflict of laws rules. Disputes are resolved as described in the Dispute Resolution section of our Terms of Service at petnutra.com/policies/terms-of-service.
17. General.
These terms, the Founding Member Agreement, and our Terms of Service and Privacy Policy are the entire agreement about the Program. If any provision is held unenforceable, the rest stays in effect. You may not assign these terms without our written consent. We may update these terms prospectively; the version in effect when you enrolled governs your membership unless you accept an updated version. Your electronic signature or click-acceptance has the same legal effect as a handwritten signature.
